Mission Statement
Give a Chip, Inc. is a nonprofit organization dedicated to fostering social-emotional learning, confidence, and community connection through accessible, hands-on educational workshops. Using baking and food-based experiences as an engaging instructional tool, we support children, families, and educators by creating inclusive programs that promote life skills, collaboration, emotional literacy, and personal growth.
The 501(c)(3) distinction for Give a Chip, Inc is currently pending.

Organizational Purpose
Give a Chip, Inc. is organized exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.
The organization’s purpose includes, but is not limited to:
- Providing educational workshops that integrate social-emotional learning, practical life skills, and experiential education
- Supporting youth development through confidence-building, collaboration, and problem-solving activities
- Offering inclusive programming designed to support neurodiverse learners and students with disabilities
- Partnering with schools, community organizations, and families to expand access to enrichment opportunities
- Developing curriculum and resources that promote empathy, communication, and community engagement
No part of the organization’s activities shall involve political campaigning or substantial lobbying.
BYLAWS OF GIVE A CHIP, INC.
Article I: Name
The name of the organization shall be Give a Chip, Inc.
Article II: Nonprofit Status
This corporation is organized exclusively for charitable and educational purposes under Section 501(c)(3) of the Internal Revenue Code. No part of the net earnings shall inure to the benefit of any private individual.
Article III: Offices
The principal office of the corporation shall be determined by the Board of Directors. The organization may establish additional offices as deemed necessary.
Article IV: Board of Directors
Section 1. Authority and Responsibilities
The Board of Directors shall have full authority to govern the affairs of the corporation, including policy development, financial oversight, and strategic direction.
Section 2. Number and Composition
The Board shall consist of no fewer than three (3) directors. Directors must demonstrate commitment to the mission of Give a Chip, Inc.
Section 3. Term of Service
Directors shall serve terms of two (2) years and may be reappointed.
Section 4. Meetings
The Board shall meet at least annually, with additional meetings as needed. Meetings may be held in person or virtually.
Section 5. Voting
Each director shall have one vote. A simple majority constitutes approval unless otherwise specified.
Article V: Officers
Section 1. Officers
The officers of the corporation shall include:
- President
- Vice President
- Secretary
- Treasurer
One person may hold multiple offices, except that the Treasurer and President should be separate roles when possible.
Section 2. Duties
- President: Oversees operations and represents the organization publicly
- Vice President: Assists the President and assumes duties as needed
- Secretary: Maintains records and meeting minutes
- Treasurer: Oversees financial records and reporting
Article VI: Committees
The Board may establish committees as necessary to support the organization’s mission, including program development, fundraising, or governance committees.
Article VII: Conflict of Interest
The corporation shall maintain a written conflict of interest policy to ensure that decisions are made in the best interest of the organization. All directors and officers shall disclose potential conflicts annually.
Article VIII: Financial Management
- The fiscal year shall be determined by the Board
- All funds shall be used to further the organization’s charitable purpose
- Annual financial reports shall be reviewed by the Board
Article IX: Dissolution
Upon dissolution of the corporation, assets shall be distributed exclusively for charitable purposes to organizations recognized under Section 501(c)(3) of the Internal Revenue Code.
Article X: Amendments
These bylaws may be amended by a majority vote of the Board of Directors at any duly called meeting.

Give a Chip, Inc. is committed to transparency, accountability, and ethical stewardship of resources. Governance documents and financial information are made available upon request.
